On March 21, 2022, Avino Silver and & Gold Mines Ltd. (“Avino”) closed the acquisition of all of the issued and outstanding shares of Proyectos Mineros La Preciosa S.A. de C.V., a Mexican corporation, and Cervantes LLC, a Delaware LLC, that together hold the La Preciosa property in Mexico from Coeur Mining, Inc (“Coeur”). Avino is filing on this Form 6-K the form of purchase agreement, including exhibits thereto, with Coeur.

 

This Form 6-K, including exhibit 4.1 attached hereto, is hereby incorporated by reference into the Company’s Registration Statements on Form F-3 (Registration file numbers 333-252081 and 333-226963) and Form S-8 (Registration file number 333-195120) to be a part thereof from the date on which this report is submitted, to the extent not superseded by documents or reports subsequently filed or furnished.
