Issue of shares and options over shares



The Company announces that, on 26 March 2003, 60,000,000 ordinary shares were
issued to Anzcorp Trust Limited.  In addition options over a further 60,000,000
ordinary shares were issued on that date to Anzcorp Trust Limited which are
exercisable at par within 36 months.  The ordinary shares and options were
issued in satisfaction of an outstanding debenture held by Anzcorp Trust Limited
and accrued interest, together totalling #150,000.



The Company further announces that, on 26 March 2003, 5,000,000 ordinary shares
were issued to Miami Building Limited in satisfaction of an outstanding loan of
#18,000.  Mario Palmonella, a director of the Company, is company secretary of
Miami Building Limited.
