                         Disposal of Color Steels Inc.



                         Resignation of David Sanderson



Following the Extraordinary General Meeting on Friday 26 July 2002, at which
both the resolutions proposed at the meeting were passed, Precoat International
Plc ("Precoat") has completed the disposal of Color Steels Inc. to Color Steels
Holding Corporation.



Accordingly, as indicated in the circular to the shareholders of Precoat dated 9
July 2002, David Sanderson has resigned as a director of  Precoat.
