                  Board Changes and Application for De-listing

Coats plc (the "Company") announces that Keith Merrifield has resigned from the
Board of Directors of the Company with effect from 7 May 2003.

In addition, Sir Harry Djanogly has stepped down as Chairman of the Board.  Sir
Harry will remain a non-executive director until the procedures relating to the
compulsory acquisition of the Company pursuant to Section 429 of the Companies
Act 1985 have been completed.  A new Chairman will be appointed in due course.

The Company also announces that it is proposing to apply to the United Kingdom
Listing Authority for the cancellation of the listing of its ordinary shares on
the Official List.  It is anticipated that de-listing will occur no sooner than
10 June 2003.

The de-listing application is a consequence of Avenue Acquisition holding at
least 75 per cent. of the Company's shares in issue and the Board changes are a
consequence of Avenue Acquisition having acquired control of the Company,
pursuant to its recommended cash offer (and were foreshadowed in the offer
document).
