YM BioSciences Inc. - Notice of Annual and Special Meeting of Shareholders and
Notice of Meeting of Shareholders

On November 17, 2004, YM BioSciences Inc. (the "Company") distributed an
information circular containing a Notice of Annual and Special meeting of
shareholders to be held on December 8, 2004 and a meeting of shareholders to be
held on December 22, 2004, together with a form of proxy to its shareholders.
The Annual and Special Meeting will take place on December 8, 2004 at 4:30 p.m.
(Toronto time) at the offices of Heenan Blaikie LLP, Suite 2600, South Tower,
Royal Bank Plaza, Toronto, Ontario, M5J 2J4. The meeting of shareholders
scheduled to be held on December 22, 2004 at 4:30 p.m. (Toronto time) will take
place at the same location. The December 22, 2004 meeting of shareholders is
being held in respect of the amendment of the Comany's articles of association
regarding the implementation of a classified board and mandatory written notice
of shareholders meetings.
