INTU DEBENTURE PLC (THE "COMPANY") ANNOUNCES COMPLETION IN ACCORDANCE WITH THE TERMS OF THE SUPPLEMENTAL TRUST DEED

Completion in accordance with the terms of the Supplemental Trust Deed
Further to the Company's announcements on 14 May 2024, announcing that Stockholders had at a meeting, held by way of videoconference on 14 May 2024 at 10:00 a.m. (BST) (the "Meeting"), considered and duly approved the Extraordinary Resolution regarding, amongst other matters, the approval of the business plan uploaded to the Company's website on 15 February 2024[1] and proposed amendments to the Trust Deed (the "Supplemental Trust Deed") more fully set out in the Notice of Meeting dated 16 April 2024 (the "Transaction"), the Company hereby gives notice that the Supplemental Trust Deed has been entered into and the Effective Date (as defined in the Supplemental Trust Deed) is 23 May 2024.
Stockholders should refer to the Notice of Meeting for further details in connection with the proposals set out therein. Copies of certain of the documents referenced therein were distributed to the Stockholders by post and remain available through a secured web portal, to those Stockholders who provide evidence of their holding of the Stock to the satisfaction of the Trustee, the details of which are available from the Trustee who can be contacted at legalnotices@lawdeb.com.
The Company will continue to keep the Stockholders notified of any relevant developments in accordance with applicable law and regulation.
Capitalised terms used in this announcement and not otherwise defined shall have the meanings given to them in the Trust Deed dated 5 October 2006 (as amended and supplemented from time to time), the Supplemental Trust Deed dated 30 July 2020 and the Supplemental Trust Deed dated 23 May 2024 (together, the "Trust Deed") constituting the Stock and made between the Company, the Charging Subsidiaries (as defined in the Trust Deed), and The Law Debenture Trust Corporation p.l.c. (the "Trustee"), unless the context otherwise requires.
