AGM RESOLUTIONS

SHARE BUY-BACK

On  26  April  1999  the Board published  a  circular  to
shareholders which provided details of a resolution to be
proposed  at  the Company's Annual General Meeting.   The
proposed resolution gave the Company general authority to
make  market purchases of ordinary shares and to  approve
the waiver from the Panel on Takeovers and Mergers of any
Rule  9  obligation  which may  otherwise  arise  on  the
Directors of the Company as a result of such purchases.

The Company announces that this resolution, and all other
resolutions  proposed at the Annual General Meeting  held
on 16 June 1999, were approved by shareholders.
