Visonic chairman raises stake to 71.56 pct on share purchase at 55p/shr

LONDON (Thomson Financial) - Visonic Ltd said its chairman Yaacov Kotlicki
increased his stake to 71.56 pct after he bought 2 mln shares, about 4.8 pct, at 55 pence each.

Preliminary Results and Maiden Dividend

Visonic (VSC.L), the international developer and manufacturer of electronic
security systems (alarms) and home management systems, announces Preliminary
Results for the year to 31 December 2006.

Highlights

* Net Profits up 3.3% to $5.2 million (2005: $5.0 million)

* Group Sales up 4.8% to $65.8 million (2005: $62.8 million)

* Visonic's 'core' business sales up 7.7% to $59.9 million (2005: $55.6m)

* Earnings per share up 1.6% to 12.6 cents (2005: 12.4 cents)

* Balance sheet remains strong with good operating cash flow

* Maiden dividend of £0.01 per share recommended

* 'Core' Security and Home Management expanded to encompass Home Health Care

* Strategic investment in Home Healthcare

* 3 new mass market distribution agreements signed in year and further 2 post
year end: ASCOM, Bell Canada, G4S, Prosegur Alarms, Securitas

* Product launches including PowerMaxPro Premium Security & Home Control
Wireless system, Amber Select Home Healthcare System with Bluetooth
interfaces to telemedicine devices.

Visonic's Chairman, Yaacov Kotlicki, commented:

Visonic to supply Bell Canada with PowerMax Pro security systems

Visonic (LSE: VSC.L; TASE: VSC.TA), the international developer and
manufacturer of electronic security systems (alarms) and home management
systems, is pleased to announce that the first deliveries of Visonic's flagship
product, PowerMax Pro, have been made to Bell Canada, the leading Canadian
telecom provider.

Following the previous announcement on 2 August 2006 of a Memorandum of
Understanding, Visonic and Bell Canada have now signed an agreement whereby the
telecom provider is purchasing PowerMax Pro units in 2007. The order includes a
range of peripherals and accessories.

Visonic's PowerMax Pro wireless security system delivers the intelligent
in-home hardware core of Bell Canada's Home Monitoring service, which was
launched on January 31, 2007. This innovative new service is designed for Bell
Canada's 28 million residential and small business customers and offers not
only a reliable, flexible and user-friendly remote home monitoring and
management facility, but also the unique `Safe at Home' feature designed to
support independent living for the elderly or frail.

Commenting, Dr Avi Shachrai, CEO and President of Visonic, said:

"We are delighted to become a preferred supplier of Home Monitoring and Control
systems to Bell Canada, Canada's national leader in communications. Our highly
innovative wireless technologies, which are driven by Visonic's major

This is the fifth agreement between Visonic and a leading telecommunications
company globally and the first in North America - a further successful
development in implementing Visonic's strategy of increasing sales through mass
market distribution channels, such as partnerships with leading
telecommunications companies.

Call me a cynic if you like but I anticipate good news in the results as brought forward 1 day - possilbly to avoid the UK budget on the 21st. If the results were bad I would suspect they would do a Tony Blair and release on Brown's bad news day.

systems, is pleased to announce its fully owned subsidiary, Visonic
Technologies ("VT"), has signed a technology development agreement with Ascom
(Sweden) AB, ("Ascom"), a global leader in on-site wireless solutions for
mission-critical communications in healthcare, industry, secure establishments,
hotel and retail.

VT will supply Ascom with its Elpas RTLS and Active RFID hospital-enabled
products from its range of location tracking systems for integration into
Ascom's next-generation Wireless Nurse Call solution. VT's innovative tracking
and identification technology provides an effective and secure means of
protecting the vulnerable in institutional environments.

erm, is this company trustworthy.

in the Jan 30th Trading statement they say:
The company said that, though VT's performance in 2006 was unsatisfactory,
better deliveries towards the year-emd point to a better performance in 2007.

In the Sept 30th 06 statement they say: Sales in the two first months of the second half in the core business of Visonic remain strong."

Admittedly core business growth was stated to be ok in Jan 30th trading statement, but the Sept 30th statement created the impression that all was going well. Yet they say in Jan 30th that 2nd half 06 business was unsatisfactory

The only explanations are that October and November must have been really awful, which is a bit unlikely, or, more likely, someone's nose is getting longer.

Trading Update

Visonic (LSE: VSC.L; TASE: VSC.TA), the international developer and manufacturer of electronic security systems (alarms) and home management systems, announces the following trading update:

Group turnover for the year to 31 December 2006 was in line with market
expectations. Continuing the trends reported at the Interim Results in
September, the core business of Security and Home Management (which includes
Home Healthcare solutions) saw good sales growth, while Location Tracking
Systems (which largely comprises Visonic Technologies ('VT') Real Time Location
Systems) continued to be disappointing. Overall, sales by the core business in
the second half of 2006 were 11% higher than in the corresponding period of 2005 and total sales grew by 8% in the same period.

Although VT's performance in 2006 was unsatisfactory, the improvement in
deliveries that was visible towards the year end encourages the Board to expect
a better performance from this business segment in FY 2007.

It is expected that in the year to December 2006, the Group will benefit from a
significant reduction in the tax rate and net profit after tax will be higher
than that of 2005. Group pre-tax profit will, however, show a decline on the
previous year. This reduction is the result of the combined impact of a
shortfall in sales at VT, a strategic decision to increase the investment in R&D across the Group and some margin pressure arising from the revaluation of the Israeli shekel against the US dollar.

The Board confirms its intention to recommend the payment of a maiden dividend
for FY 2006.

Commenting, Mr Yaacov Kotlicki, Chairman of Visonic, said:

'The results for 2006 are disappointing and below expectations. However, our
core business of Security and Home Management continues to make good progress
and we are particularly encouraged by the volume of sales leads that we are
currently pursuing. Sales by our core business in the second half of 2006 were
11% higher than in the corresponding period of 2005. Total sales grew by 8% in
the same period. Our active investment programme in R&D continues in order to
position the company for growth opportunities.'

'The Board remains confident of the Group's strategy and its prospects, as
indicated by the proposal to recommend the payment of a maiden dividend for
2006.'

The Group intends to announce its Preliminary Results on 21 March 2007.

PP Been tracking down from 128p - so now down some 56p - Unless very bad news in pipeline agree could be near bottom - so probaly going to start to nibble. Last brokers forecast that I can find had a forward p/e on normalised eps for 06 of 7.9p of 11.5 at 90p , but as many sales in $ and production cost in China both moving aginst could well be missed. No recommendation intended and dyor etc All usual cautions

Pug, no not mine. I am still waiting at the moment, with this kind of stock the MM's will normally swing it down hard before the move up, so I am waiting for that, and hoping its not already just happened in which case its that time already.

Cash is nice support but machinery is very quickly out of date in this type of industry.

Think when you figure in 50p of net assets, including 25p in cash, then this is still cheap. Sales suffered as new products coming out meant some customers waited. Will chat to the management and post as and when.

Interim Results

Visonic (LSE: VSC.L; TASE: VSC.TA), the international developer and
manufacturer of electronic security systems (alarms) and home management
systems, is pleased to announce its Interim Results for the half year ended 30
June 2006.

Highlights

- Good growth in earnings per share - up 25% to 9.6 cents (from 7.7 cents in H1-2005)

- Profit before tax up 6% to $4.4m (from $4.1m in H1-2005), PBTA at $4.5m

- Group sales increased to $32.7m ($32.2m in H1-2005)

- Incoming orders were up 6.5% above the comparable period,
principally due to good performance of the core business

- Very strong balance sheet with $20.7m in cash and equivalents and
strong cash generation

- New products well received by market: PowerLink and PowerMaxPro

Visonic's CEO, Dr. Avi Shachrai, commented:

"Once again Visonic has delivered a satisfactory performance in
profits and earnings per share during the first half of 2006. We have made
significant progress with our sales strategy, entering distribution agreements
with major international companies which we regard as the foundation for
future profitable growth."
