Vocalis Group plc (the "Company")

Substantial shareholding

The Company received notification on 3 December 1999 that on that day Prelude
Technology Fund II Limited Partnership sold 375,000 ordinary shares of 5p each
in the Company.  Following this transaction Prelude Technology Fund II Limited
Partnership is interested in 1,970,198 ordinary shares, representing 4.5 per
cent. of the Company's issued share capital.

Dr Robert Hook, a non-executive director of the Company, is a director of
Prelude Technology II Limited, the general partner of Prelude Technology Fund
II Limited Partnership.
