Vocalis Group plc (the "Company")

Director's shareholding

The Company received notification on 10 June 1999 that on that day Dr Minesh
Patel, the Company's Operations Director, transferred for nil consideration a
total of 50,000 ordinary shares in the Company to his wife.  As a result of
this transfer, Dr Patel's beneficial shareholding in the Company remains
unchanged at 758,278 ordinary shares, representing 1.7 per cent. of the
Company's issued ordinary share capital.
