                 Vocalis Group plc ("Vocalis" or the "Group")

                             Result of Open Offer


The Board of Vocalis announces that the Open Offer to Qualifying Shareholders,
announced on 28 November 2001, closed at 3.00 p.m. yesterday, Wednesday 19
December 2001. Valid applications in respect of 24,177,902 Open Offer Shares
(representing 53.1 per cent. of the Open Offer Shares) have been received from
Qualifying Shareholders.   The balance of 21,343,813 Open Offer Shares will
accordingly be taken up by institutional and other investors with whom they
were originally placed subject to clawback.



The Open Offer remains conditional upon the passing of the resolutions to be
proposed at the Extraordinary General Meeting of the Company to be held at
10.00 a.m. tomorrow, Friday, 21 December 2001 and upon admission of the New
Ordinary Shares to the Official List of the UK Listing Authority and to
trading on the London Stock Exchange's market for listed securities, which is
expected to take place on Friday, 28 December 2001.
