                         ("Vert-eco" or the "Company")

            Placing of new shares in connection with the acquisition
                of HydroDec Development Corporation Pty Limited


Further to the announcement dated 25 November regarding Vert-eco's proposed
acquisition of HydroDec Development Corporation Pty Limited, Vert-eco announces
that it has conditionally placed 9,000,000 shares at 11.5p to raise #1,035,000
for additional working capital purposes in connection with the proposed
acquisition. There was no minimum subscription level under the Placing.


The Placing is conditional upon, inter alia, all resolutions being passed at the
EGM to be held on 20 December and admission of the new shares to AIM which is
expected to take place on 21 December.
