Directors' Interest in Shares

VEGA Group PLC (the Company) announces the following changes in directors'
interests in shares.


On 30 July 2007 the Remuneration Committee made conditional awards of 5p
ordinary shares in the Company to the following directors:

Phil Cartmell                         114,583

Sue Bygrave                           73,750


These awards are subject to the following performance conditions:

Subject to continued employment the awards will vest on the third anniversary of
grant to the extent that the Company's Total Shareholder Return (TSR) moves
relative to the TSR of the FTSE Software and Computer Services Index. 30% of an
award will vest for median performance rising pro rata to 100% for upper
quartile performance. To the extent the performance conditions have not been
achieved the awards will lapse.


Following these grants the directors hold the following awards:
