           Utilico Investment Trust plc ("Utilico" or the "Company")

                          Result of Placing and Offer


On the 14 May 2007, the Board of Utilico announced recommended proposals to
re-domicile the Company to Bermuda via a scheme of reconstruction and rollover
into Utilico Limited and Utilico Finance Limited along with the Placing and
Offer of 2014 and 2016 ZDP Shares to raise up to #75 million in Utilico Finance
Limited by Arbuthnot Securities.

Following receipt of commitments under the Placing and the closing of the Offer
at 11.00 a.m. on 8 June 2007, the Company announces that, conditional on the
Scheme becoming effective, an aggregate of, 37.5 million Utilico Finance 2012
ZDP Shares and 37.5 million Utilico Finance 2014 ZDP Shares will be issued at a
price of 100p per Utilico Finance 2014 and 2016 ZDP Share, raising #75 million
(gross). An aggregate of 71.4 million Utilico Finance 2014 and 2016 ZDP Shares
will be issued under the Placing and 3.6 million Utilico Finance 2014 and 2016
ZDP Shares will be issued under the Offer. Applications under the Offer have
been subject to scaling back and applicants under the Offer have been allocated
74 per cent. of applications validly made. Cheques in respect of unsatisfied
allocations under the Offer will be despatched to applicants by no later than
the 27 June 2007.

On the passing of the resolutions at the Second Extraordinary General Meeting to
be held at 10.00 a.m. on 19 June 2007, the Scheme will become effective on that
date and dealings in the Utilico Finance 2014 and 2016 ZDP Shares to be issued
pursuant to the Placing and Offer will commence at 8.00 a.m. on 20 June 2007.
