                          Utilico Investment Trust plc

          Recommended proposals to re-domicile the Company to Bermuda
      Placing and Offer for Subscription of two new classes of ZDP Shares

The Board of Utilico Investment Trust plc announces that the resolutions
proposed at the First Extraordinary General Meeting, Warrantholders' Meeting 
and ZDP Meeting held today were duly passed.

The Second Extraordinary General Meeting will be held at 10.00 a.m. on 19 June
2007 at which the resolutions for the winding up of the Company voluntarily and
the appointment of the liquidators will be proposed. If duly passed, the Scheme
will become effective on that date and dealings in the shares and warrants of
Utilico Limited and Utilico Finance Limited (a wholly owned subsidiary of
Utilico Limited), the successor companies to the Company, will commence at 8.00
a.m. on 20 June 2007.
