The Transaction is to be implemented by means of a court sanctioned scheme of arrangement pursuant to Part VIII of the Companies (Guernsey) Law 2008 (the "Scheme"). UL is pleased to announce that earlier today the Royal Court of Guernsey sanctioned the Scheme to effect the Transaction. The Scheme has now become effective in accordance with its terms. Cancellation of admission to trading of UL's share capital on AIM will take effect from 7:00 a.m. on 31 March and the cancellation of listing on TSX is also expected to take effect from 31 March 2010.
