Results of Elections under Scrip Dividend Scheme

The Company announces that, pursuant to its scrip dividend scheme (the "Scrip Dividend Alternative"), 122,376 ordinary shares of 10 pence each in the capital of the Company (the "Shares") were on 15 May 2017 sold out of treasury to shareholders who had elected to participate in the Scrip Dividend Alternative. Electing shareholders will receive Shares instead of cash in respect of the second interim dividend for the year ended 31 December 2016.

Elections pursuant to the scrip dividend scheme were received in respect of 43.76 per cent of the Shares in issue (excluding treasury shares) at the record date of 17 March 2017. The Shares will rank pari passu with the existing ordinary shares.

Voting Rights

The Company now has 24,302,092 Shares in issue, of which 1,753,095 Shares are held in treasury. Accordingly, the number of voting rights in issue is now 22,548,997 and this figure should be used by shareholders as the denominator for calculations by which they determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure Guidance and Transparency Rules.
