Announcement of Board Changes

Following the announcement by Banco de Sabadell, S.A. ('Sabadell') on 30 June 2015 that their offer for TSB Banking Group plc (the 'Company') had been declared unconditional in all respects and the receipt of Prudential Regulatory Authority Form A approvals on 30 June 2015, the Company announces the following Board changes which are effective immediately:

-- The appointments of the Sabadell nominated directors Mr Miguel Montes and Mr Tomás Varela as non-executive directors to the Board of the Company; and

-- The resignations of Philip Augar, Norval Bryson and Mark Fisher from the Board of the Company.

There are no details that are required to be disclosed in respect of Mr Montes' and Mr Varela's appointments in accordance with Listing Rule 9.6.13.

Following these changes the Company's Board of Directors will comprise:
