Director/PDMR transactions in ordinary shares: Disclosure and Transparency Rule 3.1.4R(1)(a)

In accordance with the FCA's Disclosure and Transparency Rules, TSB Banking Group plc (the "Company") announces that on 12 May 2015 it was notified of the following purchases of ordinary shares ("Shares") on behalf of Directors and other Persons Discharging Managerial Responsibilities ("PDMRs") in accordance with the Company's Sharematch Share Incentive Plan 2014 (the "Plan"). Shares were purchased on 11 May 2015 at a price of 337p per Share and will be held by Equiniti Share Plan Trustees Limited in accordance with the Trust Deed and Rules of the Plan dated 6 June 2014. The Plan is an all-employee plan that operates in accordance with terms set by legislation and HM Revenue & Customs, and participation in the Plan is open to all employees of the Company on the same basis.
