Amendment to Transaction Documents

GBP5,000,000,000 Global Covered Bond Programme of TSB Bank plc

unconditionally and irrevocably guaranteed as to payments of interest and principal by

TSB Covered Bonds LLP (the Programme)

NOTICE IS GIVEN by the Issuer to the holders of the Covered Bonds that on 8 March 2021 the following Transaction Documents in connection with the transition of the Programme from a LIBOR to SONIA interest basis were amended and restated.

   --    the Master Definitions and Construction Agreement; 
   --    the Mortgage Sale Agreement; 
   --    the Servicing Agreement; 
   --    the LLP Deed; 
   --    the Asset Monitor Agreement; 
   --    the Cash Management Agreement; 
   --    the Cover Pool Swap Confirmation (Variable Rate Loans); 
   --    the Cover Pool Swap Confirmation (Tracker Rate Loans); 
   --    the Cover Pool Swap Confirmation (Fixed Rate Loans); 
   --    the Covered Bond Swap Confirmation in respect of Series 2019-1 Covered Bonds; 

-- the Covered Bond Swap Confirmation in respect of Series 2019-1 Covered Bonds (tap issuance); and

   --    the Covered Bond Swap Confirmation in respect of Series 2017-1 Covered Bonds.
