TP70 2008(I) VCT plc, TP70 2008(II) VCT plc and TP12(I) VCT plc

Merger Update

On 23 August 2012 the boards of TP 70 2008(I) VCT plc TP70 2008(II) VCT plc and TP12(I) VCT plc (together the "Companies") announced that they had come to a preliminary agreement for the three VCTs to merge based on their respective net asset values ("the Merger"). Detailed proposals for the Merger were released on 16 October 2012 and, subject to shareholder approval, are expected to become effective on 21 November 2012. At the same time TP70 2008(I) VCT plc announced a new offer for subscription for new shares (the "Offer").

We are pleased to report that the Merger and the Offer were approved by shareholders at the general meeting of TP70 2008(I) VCT plc held on 13 November 2012 and that the Merger was approved by shareholders at general meetings of TP12(I) VCT plc and TP70 2008(II) VCT plc held on 13 November 2012, all the resolutions set out in the notices of general meetings of the Companies dated 15 October 2012 having been passed. The Merger will proceed subject to the approval of confirmatory general meetings of TP12(I) VCT plc and TP70 2008(II) VCT plc scheduled for 21 November 2012.

Copies of the resolutions passed at the above general meeting have been submitted to the National Storage Mechanism and will shortly be available for inspection at:
