TP12 (I) VCT PLC

Recommendation of a proposal to merge TP70 2008(I) VCT plc, TP70 2008(II) VCT plc and TP12(I) VCT plc.
The Boards of TP70 2008(I) VCT plc, TP70 2008(II) VCT plc and TP12(I) VCT plc announce that they have agreed, in
principle and subject to shareholder approval, that the three companies will merge based on their respective net asset
values (the Merger).
The expected timetable for the Merger, and the general meetings required in order to obtain shareholder approval, have yet
to be finalised and will be the subject of a further announcement.
Shareholders of TP70 2008(I), TP70 2008(II) and TP12 will each receive a circular, expected to be issued in September
2012, explaining the Merger and convening general meetings of each of the companies.
Copies of the circulars will be submitted to the UK Listing Authority and will be available for download at the National
Storage Mechanism (www.hemscottt.com/nsm.do).
Shareholders should note that the Merger will be outside the provisions of the City Code on Takeovers and Mergers.
