The following Final Terms are available for viewing:

The Toronto-Dominion Bank has issued EUR 3,500,000,000 3.879% Covered Bonds due March 13, 2026 (the "Series CBL42 Covered Bonds") and EUR 1,500,000,000 3.715% Covered Bonds due March 13, 2030 (the Series CBL43 Covered Bonds") pursuant to its CAD $80,000,000,000 Global Legislative Covered Bond Programme, unconditionally and irrevocably guaranteed as to payments by TD Covered Bond (Legislative) Guarantor Limited Partnership (the "Programme").

The following documents constitute the final terms dated March 9, 2023 relating to the issue of Series CBL42 Covered Bonds (the "Series CBL42 Final Terms") and the issue of Series CBL43 Covered Bonds (the "Series CBL43 Final Terms", together with the Series CBL42 Final Terms, the "Final Terms") for the purpose of Article 8 of Regulation (EU) 2017/1129, as amended, as it forms part of United Kingdom domestic law by virtue of the European Union (Withdrawal) Act 2018, as amended, and must be read in conjunction with the Prospectus dated June 30, 2022, as supplemented by a 1(st) combined supplementary prospectus dated August 26, 2022, a 2(nd) combined supplementary prospectus dated December 5, 2022 and a 3(rd) combined supplementary prospectus dated March 3, 2023 ( the "Prospectus"). Complete information on The Toronto-Dominion Bank and the offering of Series CBL42 Covered Bonds and Series CBL43 Covered Bonds can only be obtained by reading the relevant Final Terms together with the Prospectus.
