                                    Placing 
 
Third Quad Capital Plc, an AIM listed UK based business with a software division 
and an FSA authorised and regulated securities division, is pleased to announce 
that it has successfully raised GBP200,000 before expenses by way of a placing 
of 40,000,000 new ordinary shares of 0.01p each in the capital of the Company 
("new Ordinary Shares") at 0.5 pence ("Placing Price") per new Ordinary Share 
(the "Placing").  The Placing was undertaken with three individual investors. 
The net proceeds of the Placing will be used for working capital purposes, in 
particular to take advantage of opportunities at VSA Capital Limited. 
The 40,000,000 new Ordinary Shares to be issued pursuant to the Placing will 
rank pari passu in all respects with the existing issued ordinary share capital 
of the Company.  Application has been made for the new Ordinary Shares to be 
admitted for trading on AIM and trading is expected to commence on 22 September 
2010.

Placing.

TOTAL VOTING RIGHTS 
Following the Placing, the issued share capital of the Company will increase by 
8.0 per cent to 540,153,145 Ordinary Shares of 0.01p each.  This figure may be 
used by shareholders as the denominator for the calculations by which they will 
determine if they are required to notify their interest in, or a change to their 
interest in, the share capital of the Company under the Disclosure and 
Transparency Rules (as applied to the Company by AIM Rule 17).
