RE: Technoplast Industries Ltd - Immediate report
Technoplast Industries Ltd. (hereinafter "Technoplast" or "the
Company") announced, to the Israel Securities Authority (ISA) and to the Tel
Aviv Stock Exchange (TASE), as an immediate report, that Kidron Management and
Holdings (1961) Ltd. (hereinafter: "Kidron") notified the Company that the
strategic entity with whom Kidron is holding negotiations with respect to joint
operation of the Company's injecting activity once the merger between the
Company and Kidron has been completed, is Keter Plastic Ltd. (hereinafter: "
Keter").
As the Company had been informed, Kidron and Keter have reached
principle understandings, although the specific terms of the agreement between
the parties have not been determined as of yet.
The completion of the merger between Kidron and the Company is
subject to the fulfillment of several conditions precedent, including reaching
an agreement or arrangement with the Company's creditors.
