6.  Set forth below is the form of wording of Regulation 1C of the
Companies (Concessions in Transactions with Interested Parties) Regulations,
5760-2000: (a) the concessions pursuant to Regulations 1 to 1B shall not apply
to a public company if one or more shareholder holding at least 1% of the issued
capital or voting rights in the company gives notice of his objection to the
grant of the concession as aforesaid, provided that the objection was submitted
in writing to the company by no later than seven days from the date on which the
public company submitted a report pursuant to the Securities (Transaction
Between a Company and a Controlling Shareholder Therein) Regulations, 5761-2001,
of the passing of the resolution; (b) if an objection as provided in
Sub-Regulation (a) is submitted, the transaction requires approval pursuant to
the provisions of section 273 or 275 as the case may be.
