SWP GROUP PLC

                Results of EGM and of the Placing & Open Offer,

SWP Group PLC ("SWP") announces that all resolutions proposed at the EGM today
were duly passed.

SWP also announces that valid applications, including excess applications, under
the Open Offer made by the Company on 30 April 2004 had been received in respect
of 160,741,445 Ordinary Shares. This represents 37.68 per cent of the Offer
Shares.

Shareholders that applied for Offer Shares in excess of their pro-rata
entitlements have been allocated the excess amounts that they applied for.

Under the terms of the Underwriting Agreement, the Underwriters are to subscribe
for 159,750,000 Ordinary Shares representing 37.50 per cent. of the Offer
Shares.

Those shares not subscribed under the Open Offer or pursuant to the Underwriting
Agreement will not be issued.

The total number of Ordinary Shares in issue following the Placing and Open
Offer will be 788,477,309.

The Share Consolidation will take place after close of business today and the
Consolidated Shares are expected to be admitted to AIM and to commence trading
at 8.00 a.m. on Friday, 26 May 2004.

The individual interests of the members of the Concert Party in the Consolidated
Share capital will be announced tomorrow.
