Stonewater Funding plc (the Issuer)

GBP200,000,000 5.034 per cent. Secured Bonds due 2042 (the Bonds)

Notice is hereby given to the holders of the Bonds that members of the Stonewater Group have effected a corporate reorganisation.

As of 31 March 2021, each of Stonewater (3) Limited and Stonewater (4) Limited has transferred its engagements to Stonewater Limited (a Borrower under the Bond structure), pursuant to section 110 of the Co-operative and Community Benefit Societies Act 2014. This transfer of engagements falls within the definition of a Permitted Re-organisation under the Bonds.
