It is announced that on 3 February 2003 Brian Whitty and David Penna exercised
options under the South Staffordshire Group Plc Sharesave Scheme over ordinary
shares of 10 pence each in South Staffordshire Group Plc as follows:

Messrs Whitty and Penna are Directors of South Staffordshire Group Plc and South
Staffordshire Water PLC.
