The  following  letter has been sent today to the registered  holders  of  the
following debenture stocks in issue by Mid Southern Water plc:

31/2% perpetual stock
4% perpetual stock
5% perpetual stock
51/2% perpetual stock
6% perpetual stock

TEXT OF LETTER

Dear Sir

SAUR Water Services Group Restructuring

The Board of SAUR Water Services plc ("SWS") announced today its intention  to
restructure its subsidiary companies.

SWS currently has five water operating company subsidiaries, namely Eastbourne
Water  plc, Mid Southern Water plc, South East Water Limited, Mid-Sussex Water
plc  and  West Kent Water plc.  The restructuring aims to transfer the  assets
and  liabilities of Eastbourne Water plc, Mid Southern Water plc,  South  East
Water  Limited  and  West  Kent Water plc into  Mid-Sussex  Water  plc.   This
transfer  will  be  carried out in accordance with Schedule  2  of  the  Water
Industry Act 1991 ("WIA").

As part of this restructuring, the listed debenture stocks of Eastbourne Water
plc, Mid Southern Water plc and West Kent Water plc will be transferred to Mid-
Sussex  Water plc.  Mid-Sussex Water plc already has its own debenture  stocks
in issue which are listed on the Stock Exchange.

Application, in accordance with the Stock Exchange Listing Rules, will be made
by  Mid-Sussex Water plc for the transferred debenture stocks to be listed  on
the  Stock Exchange.  This will necessitate Listing Particulars which will  be
sent to you in due course.
