Total Voting Rights

In accordance with Rule 5.6.1 of the Disclosure Guidance and Transparency Rules ('the DTRs'), we would like to notify the market of the following:

SQN Asset Finance Income Fund Limited (the "Company") advises that as at 1 June 2018 its issued share capital comprises 356,585,141 Ordinary Shares and 138,924,222 C Shares. The total issued share capital with voting rights is 495,509,363. There are currently 1,122,366 shares held in treasury.

The total number of voting rights of the Ordinary Shares is 356,585,141 and the total number of voting rights of the C Shares is 138,924,222. As such the total voting rights figure of 495,509,363 may be used by shareholders (and others with notification obligations) as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
