NEW YORK, April 29  /PRNewswire-FirstCall/ -- Intermediate Muni Fund Inc. which
is traded on the American Stock Exchange under the symbol "SBI," announced
today the results of the votes cast at the Fund's annual meeting of
stockholders held on April 29, 2004.

Paul Hardin was elected as a Class II Director of Intermediate Muni Fund Inc.
by holders of the Fund's preferred stock to hold office until the annual
meeting of stockholders in the year 2007 or thereafter when a respective
successor is duly elected and qualified.

Roderick C. Rasmussen and John P. Toolan were elected as Class II Directors of
Intermediate Muni Fund Inc. by holders of the Fund's common and preferred stock
to hold office until the annual meeting of stockholders in the year 2007 or
thereafter when respective successors are duly elected and qualified.
