SOCIÉTÉ GÉNÉRALE ACCEPTANCE N.V. Warrant Programme dated 27 October 2003 (the "Programme")

Capitalised terms used but not defined herein shall have the meaning given to them in the Programme.

Reference is made to the following issues of warrants (the "Warrants"), each issue of Warrants as further described in the corresponding pricing supplement (the "relevant Pricing Supplement"):

a) 10,000,000 Cash Settled Put Warrants linked to the FTSE 100 Index, issued on 22(nd) July 2004 with ISIN Code ANN8126Y8884 and SEDOL Code B01Z2C9;

b) 10,000,000 Cash Settled Call Warrants linked to the FTSE 100 Index, issued on 4(th) March 2004 with ISIN Code ANN8126P2342 and SEDOL Code 3436497;

c) 10,000,000 Cash Settled Call Warrants linked to the Dow Jones Industrial Average Index, issued on 4(th) March 2004 with ISIN Code ANN8126P2599 and SEDOL Code 3436538;

d) 10,000,000 Cash Settled Call Warrants linked to the Nikkei 225 Index, issued on 14(th) April 2004 with ISIN Code ANN8126W8589 and SEDOL Code B00PF10;

e) 10,000,000 Cash Settled Call Warrants linked to the Hang Seng Index, issued on 14(th) April 2004 with ISIN Code ANN8126W8415 and SEDOL Code B00PF21;

f) 10,000,000 Cash Settled Call Warrants linked to the Gold spot price, issued on 4(th) March 2004 with ISIN Code ANN8126P2672 and SEDOL Code 3436550;

g) 10,000,000 Cash Settled Call Warrants linked to the Silver spot price, issued on 4(th) March 2004 with ISIN Code ANN 8126P3258 and SEDOL Code 3436613;

h) 10,000,000 Cash Settled Call Warrants linked to the Platinum spot price, issued on 4(th) March 2004 with ISIN Code ANN 8126P3175 and SEDOL Code 3436624.

The Issuer wishes to announce that the Warrants will be deemed to be terminated on 1(st) March 2016 (the "Expiration Date"). This announcement is made in accordance with paragraphs 14 (Exercise Period) and 16 (Expiration Date), as the case may be, of the relevant Pricing Supplement. This announcement constitutes notice to the Warrantholders pursuant to Condition 13 (Notices) of the Programme.

The Issuer further announces that the Warrants will cease to be admitted to trading on the London Stock Exchange's regulated market and on the official list of the United Kingdom Listing Authority with effect from the Expiration Date in accordance with Listing Rule 5.2.8.
