                    Issue of Equity and Total Voting Rights


SatCom Group Holdings plc, a reseller of mobile satellite communications,
announces that it has issued 5,830 new ordinary shares of US$0.10 each ('New
Ordinary Shares). These are being issued due to an exercise under Satcom's staff
share option scheme.

The issue of the New Ordinary Shares is subject to them being admitted to
trading on AIM, application for which has been made. Trading in the New Ordinary
Shares, which will rank pari passu in all respects with the existing ordinary
shares, is expected to commence on Friday 18 May 2007.

As at the date of this announcement, the Company's issued share capital consists
of 59,628,644 ordinary shares with a nominal value of US$0.10 each ('Ordinary
Shares'), with voting rights. The Company does not hold any Ordinary Shares in
Treasury.

Therefore, the total number of Ordinary Shares with voting rights is 59,628,644.

The above figure of 59,622,814 Ordinary Shares may be used by shareholders in
the Company as the denominator for the calculations by which they will determine
if they are required to notify their interest in, or a change in their interest
in, the share capital of the Company under the FSA's Disclosure and Transparency
Rules.
