Anticipated acquisition by Procter & Gamble of the air care business of Sara Lee 
Corporation 
 
The Office of Fair Trading (OFT) is considering whether the above acquisition 
qualifies for a request to be made under Article 22 of Council Regulation (EC) 
139/2004 (the EU Merger Regulation or EUMR) to have the merger case referred to 
the European Commission for investigation and if so whether it would be 
appropriate for the OFT to make such a request. 
 
The OFT is giving consideration to such a request on the basis that the merger 
does not have a Community dimension within the meaning of Article 1 of the EUMR. 
However the OFT is considering whether the merger may affect trade between 
Member States and may threaten to significantly affect competition within the 
territory of the UK. 
 
If it decides to grant any such request made by the UK, the European Commission 
would examine the concentration further under the EUMR.
