Total Voting Rights

London, 2 March 2015: Ophir notifies the market that, the Company's issued share capital as at close of business on 27 February 2015 was 593,810,795 ordinary shares of GBP0.0025 each and that as at that time, the Company held 27,533,161 ordinary shares in treasury. Accordingly, as at the close of business on 27 February 2015, the total number of voting rights in the Company was 566,277,634.

As announced separately, today the Company also issued a further 152,208,612 ordinary shares of GBP0.0025 each and purchased 185,000 ordinary shares of GBP0.0025 each. The purchased shares will be held as treasury shares.

Accordingly, as at 2 March 2015, the Company has 718,301,246 shares in issue (excluding 27,718,161 ordinary shares held in treasury), which also equals the total number of voting rights in the Company. Shareholders may use this figure as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules ("DTR").
