Proposed reconstruction and winding up of the Company - Result of the Second EGM



In connection with proposals for the reconstruction and winding up of the
Company as set out in the Circular to Shareholders of 23 May 2007, the Board of
the Company is pleased to announce that the net asset value per share at the
Calculation Date (the close of business on 29 June 2007) for the Ordinary Shares
with A Rights and the Ordinary Shares with B Rights was 68.0555 pence per share
(rounded to 4 decimal places) net of the Liquidator's retention.



The Company further announces that the special resolution and the extraordinary
resolution proposed at today's extraordinary general meeting of the Company were
approved; that pursuant to the special resolution, the Company has been placed
in members' voluntary liquidation and Laura Waters and Richard Setchim, both of
PricewaterhouseCoopers LLP, have been appointed liquidators of the Company; and
that pursuant to the extraordinary resolution, the liquidators have been
authorised to exercise such powers under Part 1 of Schedule 4 to the Insolvency
Act 1986 as may be necessary or desirable in their judgment to give effect to
the proposals as set out in the Circular.
