Update on possible offer for RTL Group minorities

Luxembourg, January 8 2002 - RTL Group announces that at a meeting of its
Board of Directors on 8 January 2002, Bertelsmann AG presented its possible
offer of Euro 44 per share to acquire all the outstanding shares in RTL Group
not already owned by Bertelsmann AG or its affiliates, which in total
represent approximately 11 per cent of RTL Group's issued share capital. This
follows the agreement announced on 24th December 2001, for Bertelsmann to
acquire Pearson's 22 per cent shareholding in RTL Group for Euro 44 per share.

The Board of RTL Group is considering the position in consultation with its
independent financial advisers. Bertelsmann AG has announced that with its
financial advisers it is taking the necessary steps to be in a position to
commence such an offer at Euro 44 by early February 2002. A further
announcement will be made in due course.
