RTL Group statement: Board appointment

Luxembourg, 7 March 2002 - RTL Group today announces that Rolf Schmidt-Holtz has
joined its Board as a non-executive director with effect from 1 March 2002.

Rolf Schmidt-Holtz is Chairman and Chief Executive Officer of Bertelsmann Music
Group (BMG) and sits on the Bertelsmann AG Executive Board. He has not held a
directorship of a listed company for the past five years.

Rolf Schmidt-Holtz began his career in the German government's Federal Press
Bureau in Bonn and held a number of journalistic posts before joining
Bertelsmann AG in 1985 as PR Director. After two years as chief editor of the TV
station WDR, he returned to BAG in 1988 as publisher of 'Stern' magazine, part
of the Gruner+Jahr stable. Rolf joined the Executive Board of Gruner+Jahr in
1989 and the Supervisory Board of the company in 2000. He then joined the
Executive Board of Bertelsmann Entertainment in 1994 when he assumed the
position of Head of the BAG Television and Film Europe Division. In 1997, he was
appointed Chief Executive Officer of the newly merged CLT-UFA in Luxembourg -
now RTL Group - and in 2000, was appointed Chief Creative Officer, BAG. Rolf
assumed his current position as Chairman and Chief Executive Officer of BMG in
January 2001.
