Royal Boskalis Westminster N.V. (Boskalis) has been awarded a sizable (1) contract to connect an offshore Floating Storage and Regasification Unit (FSRU) to an onshore power plant in El Salvador. The contract was awarded by Energia del Pacifico (EDP), a 378-MW liquefied natural gas (LNG)-to-power infrastructure project at the Port of Acajutla, El Salvador. The project will commence early 2020 and is scheduled to be operational by the end of 2021.

The project entails the construction of a two-kilometer-long gas pipeline connection from the onshore power plant to an offshore FSRU including the mooring and hook-up. This will include the construction of a micro tunnel from the power plant into the sea followed by the dredging of an offshore pipeline trench. With the aid of a construction support vessel (CSV) Boskalis will pull the 24 inch pipeline through the micro tunnel and trench. At the offshore location, a riser will be installed to connect the FSRU to the pipeline, in addition to an anchor spread with 11 anchors to permanently moor the FSRU in position. The final phase of the project involves the physical mooring of the FSRU and the FSRU hook-up. For these activities Boskalis will deploy a CSV, a medium-sized trailer suction hopper dredger and a backhoe dredger.

With the development of this thermal powerplant, EDP will contribute to the diversification of the energy mix of El Salvador with an improved performance and reduced environmental impact. The lead project partner is Invenergy, a US-based leading global developer and operator of sustainable energy solutions, as well as several local investors.

Royal Boskalis Westminster N.V. (Boskalis) with its partners has been selected as a contractor on Saudi Aramco's Long Term Agreement for Offshore Facilities (LTA) program.

The LTA is part of an ambitious offshore investment program and covers engineering, procurement, construction, transportation and installation (EPCI) contracts to support Saudi Aramco's Offshore Maintain Potential Program, Oil & Gas Program, and other offshore expansions. Within the scope of the LTA, investments could exceed USD 3 billion per annum with a program duration of 6 years, with options by Saudi Aramco to extend for a further 3 plus 3 years. Selected contractors like Boskalis have the right to bid for tenders put out by Saudi Aramco without further technical prequalification, considerably shortening the lead time through to award.

Boskalis acquired the agreement in consortium with the United Arab Emirates-based company Lamprell. Lamprell will focus on the engineering, procurement and construction of offshore structures, such as topsides and jackets. Boskalis will be responsible for the transport and installation of these structures, in addition to dredging activities and specialist subsea activities, including survey as well as pipeline and cable installation.

This agreement is an important milestone for Boskalis and supports the strategic vision of selective growth towards becoming a full-scope transport & installation contractor at the high-end of the offshore energy market.

Royal Boskalis Westminster N.V. (Boskalis) announces that it will be executing the dredging scope for the development of the first large-scale LNG export facility in Kitimat, Canada (LNG Canada) following the final investment decision by the shareholders earlier today. The contract value is approximately EUR 100 million.

The dredging scope includes the removal and remediation of contaminated and non-contaminated sediments at the site of the future facility in order to provide the required physical space and marine access for the construction of LNG Canada. For these activities Boskalis will deploy a medium-sized trailing suction hopper dredger, cutter suction dredger, backhoe dredger and a crane barge. Boskalis was involved from the early stages of this development illustrating the early cyclical exposure dredging has on green field LNG developments. The dredging activities are expected to continue into 2020.

LNG Canada is a joint venture comprised of Royal Dutch Shell, Petronas, PetroChina, Mitsubishi and Korea Gas Corporation. The liquefied natural gas (LNG) export facility will initially consist of two LNG processing units with the first LNG expected to be processed before the middle of the next decade.

Boskalis' strategy is aimed at benefitting from key macro-economic factors which drive worldwide demand in our markets: expansion of the global economy, increase in energy consumption, global population growth and the challenges that go hand in hand with climate change. AMSTERDAM -(Dow Jones)- Royal Boskalis Westminster NV (BOKA.AE) intends to acquire Smit Internationale NV (SMIT.AE) for EUR1.35 billion in cash in a deal that would create a major Dutch player in the maritime services industry, but Smit said it still needed time to assess whether the offer represented good value.

However, Smit's biggest shareholders, Delta Lloyd NV (DL.AE) and Janivo Beleggingen, have confirmed they would accept the intended offer. Together with Boskalis' ownshareholding in Smit, those stakes accounts for about 44% of the outstanding shares.

Boskalis Chief Executive Peter Berdowski said he was confident more investors would support the EUR60 per share offer, which represented a premium of 8% to Smit's closing price Wednesday.

Ben Vree, Smit's chief executive, was less certain. He said the deal progressed quickly and that the focus was on strategic issues, with insufficient time to look at the financials.

In September last year Boskalis first announced its intention to make an offer for Smit, excluding the harbour towage division. Its EUR62.50 per share offer was rejected by Smit as too low.

Analysts said the current offer was low. A Fortis Bank Netherlands analyst said there were synergies between the two companies, but they were limited. The analyst said that it was positive that Boskalis intended to acquire Smit as a whole, including the harbour towage division. Fortis Bank Netherlandsrates both shares hold.

At 0250 GMT, shares of Boskalis traded up EUR0.43, or 1.2%, at EUR26.54 and Smit shares traded up EUR3.69, or 6.6%, at EUR59.29 while the benchmark AEX index traded up 0.4%. Boskalis' shares have gained 4% in value in the past year while Smit's shares have gained 18% during the same period.

Boskalis said it would finance the deal through a combination of debt and equity and intends to issue EUR200 million new Boskalis shares. HAL Holding (HAL.AE), which holds 31.75% of Boskalis, already has indicated it would take part in the share issue.

The deal would enhance Boskalis' earnings per share as of 2010, Berdowski told journalists.

Boskalis provides dredging, maritime infrastructure and maritime services world-wide. It has a fleet of 300 vessels and a work force of about 10,000 in more than 50 countries. It posted net profit in 2008 of EUR249.1 million on revenue of EUR2.1 billion.

In addition to harbour towage, Smit offers maritime services such as salvage and transport and heavy lifting. It posted net profit last year of EUR107.8 million on revenue of EUR704.8 million. It employs 3,590 workers.

The two companies in a joint statement said the implications of the acquisition on their combined work force would be limited because of the complementary nature of their businesses.

"I see significant opportunities for synergies between our companies complemented with a close competence and cultural fit," Berdowski said.

Vree added: "This merger offers an excellent opportunity for Smit."

The two companies said they expected to complete the deal in the first half of 2010.

Boskalis wins € 45 million port expansion project in Australia

Royal Boskalis Westminster N.V. has been awarded the contract from Fremantle Ports for the deepening of the port of Fremantle Inner Harbour in Western Australia. The contract value is approximately € 45 million and the work is scheduled to be executed in the first half of 2010.

The project requires the deepening of both the port basin and the access channel. A total of 3 million cubic meters of sand and rock will be dredged and the project will be executed with a large hopper and a cutter suction dredger.

Over the last few months, prior to the award, Boskalis was active in an Early Contractor Involvement phase. During this phase, the design and working methods were optimized in close cooperation with the client and a civil contractor.

More than one-third of Nassau Harbour's dredging has been completed to date, a government minister yesterday confirmed to Tribune Business, adding that the company contracted for the project has "given no indication that they will not meet" the November 14, 2009, completion date.

Dr Earl Deveaux, minister of the environment, said of the work being performed by Dutch-based Boskalis International: "Based on what is coming to me, they are going extremely well. They have completed more than one-third of the actual dredging to date.

"They have experienced some delays in respect to the volume of debris in the harbour, and have had to send divers down to remove tyres, steel. That has led to some delays, and they have lost eight hours, but beyond that, though, they are extremely well organised.

"They can readily make up those eight hours when working 24 hours a day. They're moving at full capacity, and are very efficient."

As an example of this, Dr Deveaux said Boskalis had completed dredging an area in front of the British Colonial Hilton's beach, where it had to move much debris from the ocean floor. Having accomplished this, it then moved its pipes and excavation equipment to the area and dredged it overnight, thus ensuring the operation did not disrupt incoming cruise ships and mail boats.

The minister added that Boskalis was scheduled to "be completed on or around November 14, and they've given no indication that they will not meet that".

The Nassau Harbour dredging project was commenced to widen the turning basin, so that the port could accommodate the world's largest cruise ship class, which is just being brought into service by RoyalCaribbean.

Dr Deveaux added that there was "nothing to so far indicate we won't be ready" when the Genesis class cruise ship, the Oasis of the Seas, makes its first call on Nassau on December 15, 2009.

Boskalis is having to remove some 10,000 cubic yards of fill per day to meet its completion target, with the excavated material being taken by pipeline to Arawak Cay. Some 1.4 million cubic yards will be used to extend Arawak Cay 1,000 feet to the west, where the new container shipping terminal will be located, with 600,000 cubic yards of fill stored on the cay itself.

Current arrangements for the Arawak Cay port will see it owned 40 per cent by the Government and 40 per cent by the private sector, with 20 per cent in public hands via an initial public offering (IPO). It is understood, though, that the Government and shipping companies - chiefly the 19 investors that comprise the Arawak Cay Port Development Company - have yet to finalise the details of their Memorandum of Understanding.

Dr Deveaux told Tribune Business that talks between the shipping companies and the Government were being handled by the Prime Minister's Office, but his understanding was that the share structure and size of the port's acreage had been agreed - although he had seen nothing in writing.

A Traffic Study, Economic and Social Impact Study and Environmental Impact Study have yet to be completed, with proposals by architects Lambert Knowles giving life to what engineering consultants, Halcro, had proposed in relation to the port's size and engineering aspects.

"I don't think there is any major impediment to be overcome," Dr Deveaux said.

During today's Extraordinary General Meeting of Shareholders, mr. M.P. Kramer was appointed to the Supervisory Board of Royal Boskalis Westminster N.V. for a three year term.

mr. Kramer (59) has been Chairman of the Executive Board and Chief Executive Officer of N.V. Nederlandse Gasunie since 1 July 2005. He is also President of Gas Infrastructure Europe (GIE) and President of the Board of Royal Dutch Gas Association (KVGN).

From 1992 to 2003 mr. Kramer held various positions with Statoil, where he was involved with up-, mid- and downstream activities within the oil and gas industry. Prior to that he held various positions within the global oil, gas and energy industry.

Boskalis sets stock dividend conversion rate at 1:14.5

On 14 May 2009 the dividend of Royal Boskalis Westminster N.V. for 2008 was set at € 1.19 per ordinary share with a choice of stock or cash dividend.

With the dividend distribution as stock, shareholders will receive 1 new ordinary share per 14.5 dividend rights of ordinary shares. The conversion rate has been based on the volume weighted average stock price of Boskalis shares traded on NYSE Euronext Amsterdam over the period 3, 4 and 5 June 2009. The value of the stock dividend is virtually the same as the value of the cash dividend based on the 1:14.5 conversion rate and an average share price of € 17.39.

Both the cash and stock dividend will be made payable from Wednesday 10 June 2009. Cash distribution will be subject to deduction of dividend tax as required by law.

Developments in 2009 to date at Royal Boskalis Westminster N.V. are in line with expectations.

Revenue comparable with the same period last year
Equipment utilization down slightly on last year
Order intake comparable with the same period last year
Order book down slightly compared to year-end 2008
2009 full year earnings are expected to be lower than the record level of 2008


Review of operations
So far in 2009, Royal Boskalis Westminster N.V. has booked revenue comparable with the same period in 2008. The utilization rate for the equipment was down slightly on last year, mainly as a consequence of a number of planned large repairs.

In recent months, Boskalis acquired contracts with a broad spread across the various market segments and geographic regions. Early this year, three oil- and gas-related contracts came in for projects in Europe and the Middle East. Boskalis also won contracts for the expansion of, among others, the ports of Nassau (Bahamas) and Gijon (Spain). Recently, the contract was signed for the large-scale clean-up of the Fox River in the USA. The value of the incoming orders in the early months of 2009 was comparable with 2008. Historically, the level of incoming orders in the first six months of the year is less than a third of the annual total. On balance, the order book was down slightly compared to the level at year-end 2008.
In late 2008, the order book was cleared of projects that are no longer expected to be executed or are expected to suffer significant delay. Since then, there have been no developments meriting further adjustments to the order book.

The financial position of Boskalis continues to be strong. The company is net debt free and has a solid cash position.

"In the first four months of this year, we reaped the fruits of our selective contracting strategy over the past few years. Thanks to that policy, the order book was well-filled, above all with a broad spread of work, at the start of the year. As a result, revenue and the utilization rate for the fleet are up to scratch. The margins for the work in progress are healthy, although there are considerably fewer cherries to be picked relative to the last two years. Order intake was at the same level as last year, but clients are becoming increasingly cautious about their investment decisions."




Smit International N.V.
On January 29, Boskalis announced that it increased its holding in Smit Internationale N.V. to 25.07%. The interest that Boskalis has expressed in parts of Smit ensues from its value-driven growth strategy. Boskalis is mainly interested in the Smit businesses that fit within this strategic framework. By acquiring the terminal activities of Smit, Lamnalco can become a global market leader in terminal services. Besides this, Boskalis can extend and strengthen its rapidly growing and attractive offshore business with Smit.


Supervisory Board
Mr R.M.F. van Loon resigned his position as Chairman and member of the Supervisory Board on 17 March 2009 for health reasons. Mr H. Heemskerk took over from Mr Van Loon as the Chairman of the Supervisory Board.


Outlook
Boskalis has a well-filled order book with a broad spread and expects the equipment to be well utilized in 2009. Revenue for 2009 as a whole is expected to be comparable to 2008. 2009 full year earnings will be lower than the record level of 2008.

Boskalis will announce its 2009 half year results on 20 August 2009.
