Significant shareholder notification

R.G.I. International Limited ("RGI" or the "Company"), the AIM-listed developer of quality residential and commercial properties in Moscow and the surrounding areas, announces that on 2 October 2013 it received notification that Direct Finance LLC ("Direct Finance") had transferred legal title of 71,000,000 ordinary shares in RGI to "Investment Company of Vnesheconombank 'VEB Capital'" LLC ("VEB-Capital").

Direct Finance LLC and VEB-Capital are both owned and controlled by State Corporation "Bank for Development and Foreign Affairs ("Vnesheconombank"). Consequently, there has been no change in ultimate beneficial ownership, and the ultimate beneficial holding of Vnesheconombank remains 120,168,094 shares in RGI, representing approximately 73.4% of the issued share capital of the Company.
