TIDMROK RNS Number : 1102K Rok PLC 13 April 2010 Stock Exchange Announcement 13 April 2010 Rok plc ("the Company") Share Dealings by Directors and PDMRs The Company was advised on 12 April 2010 that the following directors and PDMRs purchased ordinary 2p shares (Shares) under the Company's BAYE Scheme on 12 April 2010 at a share price of 40.6p per share, as indicated below: Garvis Snook - 385 shares Ashley Martin - 385 shares Rob Olorenshaw - 385 shares Steve Carden - 309 shares Martin Donnachie - 385 shares Claire Hamon - 385 shares Nigel Lemmon - 385 shares Julian Turnbull - 385 shares The Company was also advised on 31 March 2010 that Nigel Lemmon, a PDMR, had exercised on 26 March 2010 nil cost options recently vested to him over 4,734 ordinary shares in the Company under the terms of the Company's Deferred Bonus Plan (the plan). At the same time, he sold 1,951 shares at a price of 40.5p per share purely to pay the necessary tax and national insurance costs associated with the exercise of awards under the Plan. Following these dealings, the revised shareholdings and interests of these directors/PDMRs are as follows: Garvis Snook has increased his direct holding in the Company to 713,683 shares and also has an indirect holding of 774,339 Shares vested under the LTIP scheme but not yet exercised. These holdings represent approximately 0.83% of the issued share capital of the Company. He also holds unvested awards of 1,585,538 Shares under the LTIP scheme. Ashley Martin has increased his direct holding in the Company to 638,015 shares, representing approximately 0.36% of the issued share capital of the Company. He also holds unvested awards over 1,077,949 Shares under the LTIP scheme. Rob Olorenshaw has increased his direct holding in the Company to 60,233 shares, representing approximately 0.03% of the issued share capital of the Company. He also holds unvested awards over 735,079 Shares under the LTIP scheme. Steve Carden has increased his direct holding in the Company to 7,385 shares, representing less than 0.01% of the issued share capital of the Company.
