    Rok plc ("the Company")

    The Company has been advised that three directors and two PDMRs purchased shares on 12 January 2009 at 34.5p per share under the
Company's BAYE Scheme as follows:

    Garvis Snook - 453 ordinary 2p shares
    Ashley Martin - 453 ordinary 2p shares
    Rob Olorenshaw - 453 ordinary 2p shares
    Julian Turnbull - 453 ordinary 2p shares
    Claire Hamon - 453 ordinary 2p shares

    Following these purchases, the revised shareholdings and interests of these directors/PDMRs is as follows:

    Garvis Snook now has a direct holding of 549,533 ordinary 2p shares in the Company and indirectly 941,724 ordinary 2p shares vested
under the LTIP scheme but not yet exercised. These holdings represent approximately 0.83% of the issued share capital of the Company. In
addition he also holds unvested awards of 698,512 ordinary 2p shares under the LTIP scheme, together with 90,452 ordinary 2p shares under
the Deferred Bonus Plan.

    Ashley Martin now has a direct holding of 578,859 ordinary 2p shares in the Company and indirectly 2,500 ordinary 2p shares vested under
the LTIP scheme but not yet exercised. These holdings represent approximately 0.32% of the issued share capital of the Company. He also
holds unvested awards of 485,716 ordinary 2p shares under the LTIP scheme, together with 59,814 ordinary 2p shares under the Deferred Bonus
Plan.

    Rob Olorenshaw now has a direct holding of 35,237 ordinary 2p shares, representing approximately 0.02% of the issued share capital of
the Company. He also holds unvested awards over 65,423 ordinary 2p shares under the LTIP scheme, together with 30,302 ordinary 2p shares
under the Deferred Bonus Plan.  

    Julian Turnbull now has a direct holding of 428,561 ordinary 2p shares in the Company and indirectly 59,005 ordinary 2p shares vested
under the LTIP scheme but not yet exercised. These holdings represent approximately 0.27% of the issued share capital of the Company. In
addition he also holds unvested awards of 68,746 ordinary 2p shares under the LTIP scheme, together with 29,453 ordinary 2p shares in the
Deferred Bonus Plan.
      
    Claire Hamon now has a direct holding of 52,174 ordinary 2p shares, representing approximately 0.03% of the issued share capital of the
Company. She also holds unvested awards over 32,172 ordinary 2p shares under the LTIP scheme, together with 8,571 ordinary 2p shares under
the Deferred Bonus Plan.
