                                    RII plc
                            ("RII" or the "Company")

The Board of RII plc announces that, following instructions from holders of
#35,000 Unsecured Zero Coupon Convertible Loan Notes 2011 ("Loan Notes"), it
agreed on 9 December 2004 to allot 10,144,927 ordinary shares of 0.1p at 0.345p
per share in accordance with the terms of the Loan Note Instruments.

The resulting two holdings of 8,695,652 and 1,449,275 ordinary shares represent
6.03% and 1.01% of the enlarged issued share capital, respectively.

Application has been made for 10,144,927 ordinary shares of 0.1p to be admitted
to trading on AIM.
