                            ("RII" or the "Company")

The Board of RII plc announces that, following instructions from holders of
#10,000 Unsecured Zero Coupon Convertible Loan Notes 2011 ("Loan Notes"), it
agreed on 16 December 2004 to allot 2,898,550 ordinary shares of 0.1p at 0.345p
per share in accordance with the terms of the Loan Note Instruments.

The aggregate issue of 2,898,550 ordinary shares represents 1.97% of the
enlarged issued share capital.

Application has been made for 2,898,550 ordinary shares of 0.1p to be admitted
to trading on AIM.
