                            ("RII" or the "Company")

The Board of RII plc announces that, following instructions from a holder of
#20,000 Unsecured Zero Coupon Convertible Loan Notes 2011 ("Loan Notes"), it
agreed on 25 October 2004 to allot 5,797,101 ordinary shares of 0.1p at 0.345p
per share in accordance with the terms of the Loan Note Instrument.

The resulting holding of 5,797,101 ordinary shares represents 4.52% of the
enlarged issued share capital.

Application has been made for a total of 5,797,101 ordinary shares of 0.1p for
admission to trading on AIM.
