                            ("RII" or the "Company")

The Board of RII plc announces that, following instructions from holders of
#30,000 Unsecured Zero Coupon Convertible Loan Notes 2011 ("Loan Notes"), it
agreed on 8 February 2005 to allot 8,695,650 ordinary shares of 0.1p at 0.345p
per share in accordance with the terms of the Loan Note Instruments.

Application has been made for 8,695,650 ordinary shares of 0.1p to be admitted
to trading on AIM. Admission is expected to take place on 14 February 2005.
