                                ISSUE OF EQUITY



Application has been made to the London Stock Exchange for the admission of
2,352,942 new ordinary shares of 25 pence each fully paid, ranking pari passu
with the existing ordinary shares ("Ordinary Shares"), to trading on AIM, a
market of the London Stock Exchange plc.  These Ordinary Shares were allotted
pursuant to the vendor consideration payable by the Company arising out of a
deed of variation dated 12 March 2007 between (1) Robin Alvarez and (2) the
Company relating to the acquisition of the entire issued share capital of
Revenue Assurance Consulting Limited (formerly, UBM Limited) by the Company on
18 August 2005.

Application has been made for the 2,352,942 Ordinary Shares to be admitted to
trading on AIM and dealings are expected to commence on 1 October 2007.

The total number of voting Ordinary Shares in issue immediately following the
issue will be 45,079,456.
