Placing only get taken up the there is a chance of the entityu and thus its worth increasing and the vakle of the shares rising. A loan would affect the P & L, and mean they could get cotrol via a D for E. The Harringtons couldn't buy the DKR shares if they converted as it would have caused trouble with the lock ins on all the other shares issued this year. Also they would have been over 30%.
