Reasons for revision

The planned acquisition of Dupont Photomasks, Inc. of the U.S. by Toppan was
approved by shareholders of Dupont Photomasks on March 28, 2005. Due to a delay
in regulatory approvals in the U.S., however, the acquisition of shares did not
take place by the end of March 2005. Accordingly, Toppan did not book
approximately 26.0 billion yen of amortization of consolidation account
adjustment (extraordinary loss) and revised its net income forecast for the
year.



The foregoing statements regarding financial results outlook reflect the current
expectations based on economic and market conditions as of the date of this
